These Terms & Conditions (“Terms”) govern your access to and use of the HumanBots website, communications, consultations, proposals, projects, products, services and other business relationships with HumanBots.

These Terms are intended to establish clear expectations between HumanBots and its visitors, prospects, clients and business partners.

Separate proposals, contracts, statements of work, service agreements, data processing agreements or other written agreements may contain additional or different terms.

Where a separately executed written agreement conflicts with these Terms, the executed agreement will generally control to the extent of that conflict.

Important

These website Terms are a general commercial framework and should not replace a custom service agreement for significant client engagements. Have your final version reviewed by qualified legal counsel in the jurisdiction where your business entity is registered.


01 Introduction

HumanBots (“HumanBots,” “we,” “us,” or “our”) provides digital, technology, marketing, automation, consulting and talent-related services.

These Terms apply whenever you access our website, submit an inquiry, communicate with us regarding our services, enter into an engagement with us, or otherwise use a service where these Terms are incorporated or referenced.

Please read these Terms carefully before using our website or engaging HumanBots.


02 Acceptance of Terms

By accessing the HumanBots website or engaging HumanBots for services, you acknowledge that you have read and understood these Terms and agree to be bound by them where applicable.

If you are entering into an agreement on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity.

If you do not agree with these Terms, you should not use the applicable services.


03 About HumanBots

HumanBots is a digital growth and technology company operating across four primary service areas.

  • Build Websites, eCommerce solutions, web applications, software, digital products, UI/UX experiences, systems and integrations.
  • Grow SEO, paid advertising, social media, content marketing, branding, lead generation, email marketing, creative services, analytics and conversion optimization.
  • Automate Artificial intelligence systems, AI agents, CRM automation, sales automation, marketing automation, workflow automation, customer experience systems and integrations.
  • Scale Staff augmentation, dedicated teams, developers, designers, marketers, support professionals, consultants, AI specialists, sales personnel and related talent solutions.

05 Eligibility & Authority

You must have the legal capacity and authority necessary to enter into any agreement with HumanBots.

If you act for an organization, you confirm that you are authorized to provide instructions, approve work, provide access to systems and incur charges on behalf of that organization.

HumanBots may reasonably request confirmation of authority before acting on material instructions.


06 Our Services

The nature, scope and deliverables of services may vary significantly between engagements.

Services will generally be defined through one or more of the following:

  • Proposal
  • Quotation
  • Statement of work
  • Project specification
  • Service agreement
  • Email confirmation
  • Project management documentation
  • Other written communication agreed between the parties

HumanBots may use employees, contractors, consultants, specialists, technology providers and other qualified resources in delivering services.


07 Proposals & Statements of Work

A proposal, quotation or statement of work may describe:

  • Scope
  • Deliverables
  • Timelines
  • Pricing
  • Payment schedule
  • Milestones
  • Assumptions
  • Responsibilities
  • Dependencies
  • Technical requirements
  • Included revisions
  • Excluded services

Unless otherwise stated, proposals may be subject to expiration and may be withdrawn or revised before acceptance.

Work outside the agreed scope may require an additional quotation or change order.


08 Client Responsibilities

Clients are responsible for providing HumanBots with information, materials, access and approvals reasonably necessary to perform the services.

This may include:

  • Brand assets
  • Content
  • Product information
  • Images
  • Logos
  • Technical documentation
  • Account credentials
  • Hosting access
  • Domain access
  • Analytics access
  • Advertising access
  • CRM access
  • Third-party platform access
  • Timely feedback
  • Approvals
  • Legal or compliance requirements

Clients are responsible for ensuring that information, content and materials they provide may lawfully be used for the intended purpose.


09 Scope & Change Requests

A project is priced and scheduled based on an agreed scope.

Requests that materially change functionality, deliverables, integrations, content volume, design requirements, platforms, workflows or project complexity may constitute additional scope.

HumanBots may provide a revised estimate, additional fee or timeline before completing additional work.

HumanBots is not obligated to perform material out-of-scope work without agreement regarding the resulting commercial impact.


10 Timelines & Delivery

Any timeline provided by HumanBots represents a reasonable estimate based on information available when the timeline is provided.

Unless expressly stated otherwise in a signed agreement, project dates should not be interpreted as guaranteed deadlines.

Timelines may be affected by factors including:

  • Client response times
  • Scope changes
  • Third-party platforms
  • Technical discoveries
  • Integration requirements
  • Approval delays
  • Content availability
  • External dependencies
  • Force majeure events

11 Client Delays

HumanBots may rely on timely information, approvals, feedback and access from the client.

Where a project is delayed because required client input is unavailable, delivery dates may be extended accordingly.

Extended periods of inactivity may require rescheduling resources.

Where a project remains inactive for a substantial period, HumanBots may require outstanding balances to be settled before work resumes.


12 Fees & Pricing

Fees may be structured as:

  • Fixed project pricing
  • Hourly pricing
  • Monthly retainers
  • Milestone pricing
  • Dedicated resource pricing
  • Subscription pricing
  • Performance-related pricing
  • Custom commercial arrangements

Unless expressly stated otherwise, quoted fees do not automatically include third-party subscriptions, software costs, advertising spend, hosting charges, domain costs, premium plugins, stock assets or other external expenses.


13 Payment Terms

Payment terms will generally be identified in the relevant proposal, invoice or service agreement.

HumanBots may require:

  • An upfront deposit
  • Advance monthly payment
  • Milestone payments
  • Recurring subscription payments
  • Payment prior to final delivery
  • Payment prior to transferring completed assets

Invoices must be paid by their applicable due date unless otherwise agreed in writing.

Fees may be exclusive of taxes, duties, withholding taxes or similar charges unless expressly stated otherwise.


14 Late & Failed Payments

If payment becomes overdue, HumanBots may suspend work, hosting, support, access, staffing or delivery until the account is brought current.

HumanBots may also withhold:

  • Final source files
  • Production deployment
  • Account transfer
  • Administrative credentials
  • Final deliverables
  • Intellectual property transfer

where permitted by the applicable agreement and law.

Reasonable costs incurred in recovering overdue amounts may be charged where legally permitted.


15 Refunds

Because many HumanBots services involve reserved personnel, strategy, research, planning, development or other work that begins shortly after engagement, payments are generally not automatically refundable.

Any refund eligibility will depend on:

  • The applicable service
  • Work already completed
  • Resources already reserved
  • Non-refundable third-party expenses
  • The applicable proposal or contract
  • The reason for cancellation

Deposits, setup charges, completed milestones, third-party costs and payments for work already performed may be non-refundable unless otherwise agreed or required by law.


16 Cancellation & Suspension

Either party may be able to cancel an engagement according to the applicable contract, statement of work or written arrangement.

Upon cancellation, the client remains responsible for amounts properly due for:

  • Completed work
  • Partially completed work where applicable
  • Reserved resources
  • Committed third-party expenses
  • Approved purchases
  • Outstanding invoices

HumanBots may suspend or terminate services where a client materially breaches an agreement, fails to pay amounts due, engages in unlawful conduct, abuses our personnel or creates unacceptable operational, legal or security risk.


17 Third-Party Costs

Many digital projects require third-party products or services.

These may include:

  • Domains
  • Hosting
  • Cloud infrastructure
  • Email services
  • Plugins
  • Themes
  • APIs
  • CRM subscriptions
  • Automation platforms
  • Payment gateways
  • AI services
  • Analytics tools
  • Advertising platforms
  • Stock media
  • Premium software
  • SaaS subscriptions

Unless expressly included in HumanBots' pricing, these costs are the responsibility of the client.

Third-party providers may change their pricing, functionality or terms independently of HumanBots.


18 Websites, Software & Digital Products

Development projects may involve websites, eCommerce stores, applications, custom systems, SaaS products, integrations or other digital products.

HumanBots will use commercially reasonable efforts to implement agreed requirements.

However, software environments involve dependencies outside HumanBots' direct control.

Compatibility

Unless specifically agreed, HumanBots does not guarantee compatibility with every historical browser version, device, third-party extension, plugin, operating system or future software update.

Third-Party Changes

Changes by WordPress, Shopify, WooCommerce, Meta, Google, hosting companies, browsers, APIs, plugins or other platforms may affect functionality after delivery.

Maintenance

Unless ongoing maintenance is included in the agreement, post-launch updates, backups, security monitoring, bug fixes caused by external changes or continuing support may constitute separate services.


19 Marketing Services

HumanBots may provide marketing strategy and execution across channels including:

  • Search engines
  • Paid advertising
  • Social media
  • Email
  • Content
  • Lead generation
  • Conversion optimization
  • Branding
  • Analytics
  • Creative campaigns

Marketing performance is influenced by many external factors and no specific revenue, lead volume, conversion rate, ranking, audience growth or return on advertising spend is guaranteed unless expressly stated in writing.


20 SEO Disclaimer

Search engine optimization depends on search engines whose ranking algorithms and policies are controlled by third parties.

HumanBots cannot guarantee:

  • A particular ranking
  • First-page placement
  • A specific traffic increase
  • A particular keyword position
  • A particular timeframe for ranking improvements
  • Continued rankings following search-engine updates

SEO results may depend on competition, website history, domain authority, technical condition, content quality, market behavior, search engine updates and client implementation of recommendations.


21 Advertising Disclaimer

HumanBots may manage or assist with advertising on third-party platforms.

Advertising platforms independently control:

  • Account approval
  • Policy enforcement
  • Ad delivery
  • Auction pricing
  • Tracking functionality
  • Audience availability
  • Account restrictions
  • Campaign eligibility

HumanBots cannot guarantee campaign profitability, lead quality, sales volume, cost per acquisition, ad approval or continued account availability.

Advertising spend paid directly to advertising platforms is generally separate from HumanBots management fees.


22 Artificial Intelligence & Automation

HumanBots may build, configure or use artificial intelligence and automation systems.

These systems may rely on:

  • AI models
  • APIs
  • CRM platforms
  • Databases
  • Workflow tools
  • Third-party integrations
  • Cloud infrastructure
  • Communication systems

Artificial intelligence systems can produce inaccurate, incomplete or unexpected outputs.

Unless expressly agreed otherwise, AI-generated outputs should be appropriately reviewed before being relied upon for legal, medical, financial, safety-critical or other high-impact decisions.

Third-party AI models may change independently of HumanBots and HumanBots cannot guarantee perpetual consistency of model behavior.


23 Staff Augmentation & Dedicated Teams

HumanBots may provide professionals to support client projects or operations.

Depending on the engagement, these professionals may include:

  • Developers
  • Designers
  • Marketers
  • Project managers
  • Support professionals
  • Sales professionals
  • AI specialists
  • Consultants

Specific working hours, resource availability, notice periods, replacement arrangements, supervision responsibilities and intellectual property terms may be defined in the applicable agreement.

Clients are responsible for providing appropriate instructions, access, internal policies and working conditions necessary for assigned personnel.


24 Third-Party Platforms

HumanBots services may interact with third-party platforms such as:

  • Google
  • Meta
  • LinkedIn
  • TikTok
  • Shopify
  • WordPress
  • WooCommerce
  • Stripe
  • PayPal
  • Hosting providers
  • CRM providers
  • AI providers
  • Automation providers
  • Analytics platforms

HumanBots is not responsible for outages, suspensions, API changes, pricing changes, policy changes, data loss or other actions of independent third-party platforms.


25 Account Credentials & Access

Clients may provide HumanBots with account access necessary to perform services.

Clients should provide the minimum appropriate level of access whenever practical.

Clients remain responsible for:

  • Maintaining ownership of their primary accounts
  • Securing administrator credentials
  • Removing former users where appropriate
  • Maintaining recovery information
  • Using multi-factor authentication where available

HumanBots may use access only as reasonably necessary to provide the requested services.


26 Client Content

Clients may provide HumanBots with text, images, videos, trademarks, product information, databases, designs, documents or other materials.

The client represents that it possesses the rights and permissions necessary for HumanBots to use those materials for the engagement.

HumanBots is not responsible for claims resulting from client-supplied materials that infringe third-party rights or violate applicable law.


27 Intellectual Property

Ownership of project deliverables may be determined by the applicable proposal, statement of work or service agreement.

Unless otherwise agreed, intellectual property transfer may be conditional upon full payment of all amounts due.

Third-party software, frameworks, libraries, themes, plugins, fonts, stock assets, open-source components and licensed materials remain subject to their respective licenses.


28 HumanBots Property

HumanBots retains ownership of its pre-existing intellectual property unless expressly transferred in writing.

This may include:

  • Internal frameworks
  • Processes
  • Methods
  • Templates
  • Reusable code
  • Libraries
  • Automation architecture
  • Development tools
  • Prompt structures
  • Knowledge
  • Techniques
  • General expertise

HumanBots may continue using general skills, ideas, processes, techniques and non-confidential know-how developed or used during an engagement.


29 Portfolio, Credits & Case Studies

Unless confidentiality requirements, a separate written agreement or client request provide otherwise, HumanBots may identify completed work in its portfolio or marketing materials.

This may include:

  • Client name
  • Client logo
  • Screenshots
  • General project descriptions
  • Publicly available performance results
  • Public website links

HumanBots will not knowingly publish confidential business information as part of a portfolio presentation without appropriate permission.


30 Confidentiality

During an engagement, either party may receive confidential information belonging to the other.

Confidential information may include:

  • Business plans
  • Strategies
  • Customer data
  • Pricing
  • Financial information
  • Credentials
  • Software
  • Source code
  • Processes
  • Product plans
  • Marketing data
  • Trade secrets

Each party should use reasonable care to protect confidential information and should use it only for legitimate purposes related to the engagement.

Information that is public, independently developed, lawfully received from another source or required to be disclosed by law may not be subject to confidentiality restrictions to the same extent.


31 Warranties & Disclaimers

HumanBots will use reasonable professional skill and care in delivering its services.

Except for warranties expressly provided in a written agreement or warranties that cannot lawfully be excluded, services are provided on an “as available” and commercially reasonable basis.

HumanBots does not guarantee:

  • Specific financial results
  • Specific search rankings
  • Specific advertising outcomes
  • Specific sales results
  • Uninterrupted third-party services
  • Permanent compatibility with future technologies
  • Completely error-free software
  • Completely accurate artificial intelligence output

32 Limitation of Liability

To the maximum extent permitted by applicable law, HumanBots will not be liable for indirect, incidental, special, consequential or punitive damages arising from the use of our website or services.

This may include loss of:

  • Profits
  • Revenue
  • Business opportunities
  • Goodwill
  • Data
  • Expected savings
  • Advertising performance

where such losses are indirect or consequential and exclusion is legally permitted.

Where legally permitted, HumanBots' aggregate liability concerning a specific engagement may be limited to the amount actually paid to HumanBots for the services giving rise to the claim during the applicable period, subject to any different limitation stated in the applicable written agreement.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under applicable law.


33 Indemnification

To the extent permitted by law, clients may be responsible for claims, losses, costs or liabilities arising from:

  • Materials supplied by the client
  • Client violations of applicable law
  • Unauthorized instructions
  • Client misuse of deliverables
  • Products or services sold by the client
  • Client infringement of third-party rights
  • Client breach of contractual obligations

Specific indemnification obligations may be further defined in a separate service agreement.


34 Force Majeure

HumanBots will not be responsible for delays or failures caused by events reasonably outside its control.

These may include:

  • Natural disasters
  • War
  • Civil unrest
  • Government restrictions
  • Internet outages
  • Cloud outages
  • Power failures
  • Cyber incidents
  • Labor disruptions
  • Pandemics
  • Platform outages
  • Third-party service failures

HumanBots will make reasonable efforts to resume affected services once circumstances permit.


35 Termination

An engagement may terminate according to the applicable agreement or upon circumstances permitting termination under applicable law.

Upon termination:

  • Outstanding invoices remain payable
  • Third-party expenses remain payable where applicable
  • Access may be revoked
  • Confidentiality obligations may continue
  • Intellectual property provisions may continue
  • Liability provisions may continue

HumanBots may reasonably cooperate in transferring completed and fully paid deliverables following termination.


36 Governing Law & Dispute Resolution

These Terms and any dispute arising from them should be governed by the laws applicable to HumanBots' registered business entity, unless another governing law is stated in a separately executed agreement.

Governing jurisdiction
Pakistan

Before beginning formal proceedings, the parties are encouraged to attempt in good faith to resolve commercial disputes through direct discussion.

A separate agreement may provide for mediation, arbitration or another dispute-resolution process.


37 Changes to These Terms

HumanBots may update these Terms periodically to reflect changes in:

  • Services
  • Technology
  • Business practices
  • Legal requirements
  • Commercial arrangements
  • Operational procedures

The “Last updated” date displayed at the top of this page indicates when these Terms were most recently revised.

Where required, material changes may be communicated through additional means.

Terms governing an existing signed engagement may remain subject to the version incorporated into that agreement unless otherwise agreed.
